Welcome to Sophia AI Learn LLC (“Sophia AI Learn,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our services, including our AI-powered tutoring platform, websites, applications, and related offerings (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. Please read these Terms carefully.

1. Introduction & Acceptance of Terms

Sophia AI Learn LLC is a U.S.-based company providing AI-powered educational software and services. These Terms form a binding agreement between you and Sophia AI Learn LLC.

You acknowledge that:

Our Services include the use of artificial intelligence (“AI”) technology.
AI-generated responses may contain errors, inaccuracies, or omissions.
All information provided by the AI should be verified before reliance.
Sophia AI Learn LLC is not liable for any decisions, actions, or outcomes based on AI responses.

2. Eligibility & Account Registration

Age Requirement: You must be at least 13 years old (or the minimum legal age of consent in your jurisdiction). If under 18, you must have parent/guardian permission.
Account Information: You must provide accurate and complete registration details. You are responsible for maintaining the confidentiality of your credentials and all activities under your account.
Authority: If you use the Services on behalf of an organization, you represent you have authority to bind that entity to these Terms.

3. Subscription Plans, Payments, and Billing

Subscriptions: Access to certain features requires a paid subscription plan. Subscription details, pricing, and benefits are outlined at www.sophia-ai-learn.com.
Billing: By subscribing, you authorize us to charge your chosen payment method on a recurring basis until canceled.
Taxes: You are responsible for any applicable taxes.
Non-Refundable: Payments are non-refundable except where required by law.

4. Free Trials

We may offer free trials at our discretion. Free trial terms will be specified at sign-up. Unless canceled before the end of the trial, your account will automatically convert to a paid subscription at the then-current rate.

5. User Responsibilities & Acceptable Use

You agree not to:

Use the Services in violation of any law or regulation.
Attempt to reverse engineer, copy, or modify the Services.
Misuse or exploit AI-generated outputs (e.g., for harmful, illegal, discriminatory, or misleading purposes).
Use AI responses as the sole basis for critical decisions (including educational, medical, financial, or legal decisions).

You are responsible for verifying the accuracy and appropriateness of all AI outputs before relying on or sharing them.

6. Intellectual Property Rights

Sophia AI Learn LLC retains ownership of all rights, title, and interest in the Services, including software, algorithms, and content, except for user-provided input.
You retain ownership of your input (“User Content”). We assign to you any rights in the AI-generated output we provide to you, subject to these Terms.
Due to the nature of AI, outputs may not be unique and similar results may be generated for other users.

7. Data Privacy & Security

Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and protect your personal data. The Privacy Policy forms part of these Terms.

8. Service Availability & Limitations

We aim to provide reliable access but do not guarantee uninterrupted or error-free service.
We may modify, suspend, or discontinue parts of the Services at any time without liability.
AI responses may contain inaccuracies. Use of the Services is at your sole risk.

9. Termination & Suspension

We may suspend or terminate your account if:

You violate these Terms or applicable laws.
Your subscription payment fails.
Continued use poses risk or harm to others or to Sophia AI Learn LLC.

10. Disclaimers & Limitation of Liability

AI Limitations: The Services use AI technology that may generate incomplete, inaccurate, or inappropriate content. You should not rely on outputs as factual or as a substitute for professional advice.
No Liability: To the maximum extent permitted by law, Sophia AI Learn LLC is not liable for:
- Errors or omissions in AI responses,
- Decisions or actions taken based on outputs, or
- Any indirect, incidental, special, or consequential damages.
Cap on Liability: Our aggregate liability shall not exceed the greater of (a) the amount paid by you to use the Services in the 12 months preceding the claim, or (b) $100.

11. Indemnification

You agree to indemnify and hold harmless Sophia AI Learn LLC, its affiliates, and personnel from any claims, losses, or liabilities arising out of:

Your use of the Services,
Your reliance on AI outputs, or
Your violation of these Terms or applicable law.

12. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Dispute Resolution: Any disputes shall first attempt informal resolution. If unresolved, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (“AAA”) in California.
Class Action Waiver: You agree that disputes may only be brought on an individual basis and not as a class, collective, or representative action.

13. Changes to Terms

We may update these Terms from time to time. If changes materially affect your rights, we will provide at least 30 days’ notice via email or in-app notification. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
